GRANT OF LICENSE.

Omniparadoxe (hereafter “Omniparadoxe”) concedes you the right to use the Software and this, in a nonexclusive and nontransferable way. This licensing is subordinated to the respect of the following provisions:

 

1-	You are authorized to install and use that only one specimen of the Software on only one computer.
2-	You are authorized to use the Network software in condition of having acquired a license for each computer distinct from the network.
3-	You are authorized to carry out a reasonable number of backup copies of the Software provided that they are only used to replace an unusable copy of the Software.

COPYRIGHT.

The Software is the property of Omniparadoxe and its suppliers. The COPYRIGHTs, trade secrets, patents, marks and other documents of title associated with the Software belong exclusively to Omniparadoxe and its suppliers. Except stipulation contrary express in this contract, you are not authorized to copy, reproduce, alter, modify, die-compile, disassemble the Software, nor to reconstitute logic or to create derived work starting from the Software of it. All the not conceded rights in an explicit way are reserved. TRANSFER OF SOFTWARE.

This license is granted to you on a purely personal basis. None the rights from which you profit under the present contract can be sold, allotted, be distributed, conceded by the means of a under-license or be transferred to another person, whatever the support used (including the electronic medium), without the preliminary written authorization of Omniparadoxe. Any transfer not respecting the terms of this clause is null and nonwhich occurred and automatically involves the cancellation of your rights of use and possession of the Software..

 

UPDATES.

Omniparadoxe reserves the right to update the Software. You can obtain these updates of the Software from Omniparadoxe, in accordance with the terms of the agreement made between you and Omniparadoxe. These updates of the Software are supposed to function in a more precise and more effective way. You admit that it rests with to you to buy, to download or install these updates of the Software.

 

GUARANTEE LIMITEE.

Omniparadoxe guarantees that the Software functions, essentially, in accordance with the indications contained in the documentation of the product which accompanies the Software.

OMNIPARADOXE GUARANTEES NEITHER an UNINTERRUPTED OPERATION OF the SOFTWARE NOR the ABSENCE OF LEGAL FLAW IN the SOFTWARE. THE GUARANTEE ABOVE IS EXCLUSIVE; IT CANCELS AND REPLACES ALL the OTHER IMPLICIT GUARANTEES, EXPRESSES OR, INCLUDING the IMPLICIT GUARANTEES OF QUALITY AND ADEQUACY A a PARTICULAR USE.

 

LIMITATION OF RESPONSIBILITY.

 

TO IN NO CASE OMNIPARADOXE OR ITS SUPPLIERS COULD NOT BE HELD RESPONSIBLE FOR ANY CONSEQUENTIAL DAMAGE, ADDITIONAL OR SPECIAL (IN PARTICULAR LOSS OF BENEFIT, INTERRUPTION Of ACTIVITY, LOSS OF DATA) RESULTING FROM the USE OR IMPOSSIBILITY OF USING the SOFTWARE AND THAT SAME IF OMNIPARADOXE A BE FORMLESS OF the POSSIBILITY OF SUCH DAMAGE. IN ANY ASSUMPTION, the ENTIERE RESPONSIBILITY FOR OMNIPARADOXE UNDER the PRESENT CONTRACT COULD NOT EXCEED SUM PAYEE FOR the EXPLOITATION OF the SOFTWARE. The PRECEDING LIMITATION APPLIES NOTWITHSTANDING the NON-ABOUTISSEMENT Of a RECOURSE.

 

APPLICABLE LEGISLATION AND GENERAL PROVISIONS.

 

This contract is governed by the Canadian laws into force and the international law. In the event of nullity of an unspecified provision of this contract, the parts are agreed that the other provisions of the contract will not be affected in any manner. You commit yourselves not to dispatch, transfer or be exporting the Software towards another country nor has to use it in a way prohibited by the laws of export or any other law, regulation or restriction of export. This contract will be automatically terminated in the event of non-observance of its terms. This contract cannot be modified without the written and signed agreement of an official representative of Omniparadoxe.
